    Job Purpose

    The Company Secretary will ensure MerSETA adheres to statutory, regulatory, and corporate governance requirements. This role requires strong governance, legal compliance, and administrative expertise to support the Accounting Authority (AA) and its committees.

    Key Responsibilities

    The successful candidate will be responsible for governance and compliance at MerSETA. Duties include:

    1. AA & Committee Support

    • Provide legal and administrative support to the Accounting Authority (AA).
    • Ensure timely communication of AA decisions.
    • Manage the AA calendar, ensuring proper documentation for meetings.
    • Guide AA and subcommittees on governance matters.
    • Draft work plans, reports, and documentation for the AA and committees.
    • Manage AA induction, orientation, and training for effective governance.
    • Maintain updated charters and terms of reference for AA and committees.
    • Ensure cost-effective utilization and management of committee budgets.

    2. Compliance & Governance

    • Ensure MerSETA adheres to all statutory and regulatory requirements.
    • Monitor corporate governance and legislative developments affecting MerSETA.
    • Provide guidance on SETA regulatory compliance.
    • Implement and safeguard King IV governance principles.

    3. Policy Development & Implementation

    • Develop a Governance Framework that aligns with SETA policies and legal requirements.
    • Ensure consistency in governance practices.

    4. Stakeholder Liaison

    • Act as a primary liaison between the AA, management, and external stakeholders.
    • Maintain effective communication and collaboration on governance matters.

    5. Risk Management & Reporting

    • Assist with the development and implementation of risk management strategies.
    • Prepare and present governance-related reports to relevant stakeholders.

    Qualifications & Experience Required

    To be considered for this role, you must have the following:

    Minimum Qualifications

    • LLB Degree, Admitted Attorney, or Business Administration qualification.
    • Professional certification in Corporate Governance or membership in:
      • Chartered Institute of Secretaries (CIS)
      • Chartered Governance Institute of Southern Africa (CGISA)

    Experience & Skills

    • At least 8 years’ experience as a Company Secretary or in a similar governance role.
    • Demonstrated experience working with Boards of Directors & Senior Management.
    • Strong track record in corporate governance compliance.
    • Public sector experience is essential.
    • Knowledge of the SETA landscape & regulatory environment is an added advantage.
    • Expertise in corporate governance frameworks & compliance (e.g., King Reports).
    • Strong understanding of legal and regulatory requirements for public entities.
    • Political and legislative acumen.
    • Excellent organizational, administrative, written, and verbal communication skills.
    • High attention to detail and ability to maintain confidentiality.
    • Ability to work independently and build strong interpersonal relationships.
